Digital Board Members Program – Terms of Service

These Digital Board Members Program Terms of Service (“Terms of Service”) are between you (“user,” “participant,” or “you”) and PC Holdings LLC (“we,” “our,” “Company” or “us”). As used in these Terms of Service, “Company” refers to the company PC Holdings LLC, with the operating office at MBFC Tower 3, 17/F, 12 Marina Boulevard, Singapore, with register number 018982, a company incorporated in Singapore.

By participating in the Digital Board Members Program (“DBMP” or “the Program”) provided by the Company, you confirm that you have read, understand, and agree to be bound by these Terms of Service. If you do not agree with these Terms of Service, please refrain from participating in DBMP. We recommend thoroughly reviewing these terms and seeking legal counsel if deemed necessary.

Propchain, directly or indirectly through the subsidiaries, offers other services related to the cryptoassets. Such services are stipulated with separate terms of use.

To participate in the DBMP as stipulated with these Terms of Service, it is not required to use any other services Propchain or its subsidiaries provide.

Introduction

DBMP is an integral part of the Propchain web platform, accessible to users in the form of a web application (https://dapp.propchain.io/), including all its associated web, mobile portals, and services (“the Platform”).

$PROPC token is a fungible token, the Platform’s native crypto token, intended to provide exclusive access to the services and products offered through the Platform and is only accepted by the Company (“$PROPC token”).

These Terms of Service should be read in conjunction with other legal documents issued by Propchain, which govern the use of a Platform, including the use and functionalities of the

$PROPC token and the “Real-e-Stake” mechanism. These legal documents are:

  • Legal Opinion on crypto nature of $PROPC token;
  • Platform General Terms and Conditions.
  • Privacy Policy
  • Cookie Policy

Users should refer to the Platform’s governance rules, which detail processes for governing the Platform.

Digital Board Members Program

DBMP provides an added governance utility to the $PROPC token and can be exclusively accessed via the Platform, encompassing the web portal and user dashboard.

$PROPC token holders have an option but not an obligation to opt into the DBMP. Only those token holders who meet eligibility criteria, as described in these Terms of Service can participate in DBMP.

DBMP participants can participate in discussions regarding various projects on the Platform, present proposals, and enjoy other benefits.

DBMP does not transfer or grant any equity rights in the Company or any of its subsidiaries, including ownership title transfers, to the participants in the Program.

Participants in DBMP will not receive additional payments for their involvement in the Program. Nor any other economic rights will be transferred to them by the Company or its subsidiaries.

DBMP does not classify as a “general assembly” voting mechanism. Decisions adopted within the Program do not impact the Company’s broader corporate decisions.

Participation in the Program does not mean participants are appointed to any function within the Company’s governance structure nor that the Company commits to such appointment in the future.

Eligibility

Participation in the Program is limited to eligible participants. The conditions for eligibility are as follows:

  • $PROPC token staking: participants are obliged to stake their tokens to access the Program. Detailed terms and conditions specific to this Program’s staking are available at https://dapp.propchain.io/.
  • Participant’s identification: before participating in the Program, each participant must go through the identification process, conducted by the Company.[PM1]
  • Platform usage: DBMP is exclusively available through the Platform. The participant is obliged to adhere to the Platform’s rules.
  • Exercising rights: all participant’s rights deriving from the Program shall Participant exercise on his behalf and for his account.

Participants need not be registered users of the Platform to participate in the Program.

 

Company’s discretions

The Company reserves the right to alter these Terms of Service at any given time or can modify the platform’s functionality and governance rules, even to the extent of discontinuing the Program.

Participants will be informed about any such changes in advance. Such notifications will be published on the Platform.

Notwithstanding any provision to the contrary within these Terms of Service or any associated document, the Company expressly reserves the right, at its sole discretion, to decline, reject, or otherwise not implement any proposal or recommendation submitted by participants through the Program or any other forum provided by the Platform.

Participation in the Program does not confer upon the participant any right to demand, enforce, or otherwise obligate the Company to take any action or inaction based upon such proposals or recommendations.

The Company’s decisions related to participant proposals are final and not subject to appeal or review.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL [THE COMPANY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO, LOSS OF REVENUE, INCOME OR PROFITS, LOSS OF USE OR DATA, LOSS OR DIMINUTION IN VALUE OF ASSETS OR SECURITIES, OR DAMAGES FOR BUSINESS INTERRUPTION) ARISING OUT OF OR IN ANY WAY RELATED TO THE ACCESS OR USE OF THE DIGITAL BOARD MEMBERS PROGRAM OR OTHERWISE RELATED TO THESE TERMS OF SERVICE, REGARDLESS OF THE FORM OF ACTION, WHETHER BASED IN CONTRACT, TORT (INCLUDING, BUT NOT LIMITED TO, SIMPLE NEGLIGENCE, WHETHER ACTIVE, PASSIVE, OR IMPUTED), OR ANY OTHER LEGAL OR EQUITABLE THEORY (EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE).

To the extent permitted by law, the Company’s total liability for any claim under these terms, including for any implied warranties, is limited to $ 100,00 (one hundred).

Participants understand and agree that the preceding limitation of liability provisions shall apply even if any remedy fails of its essential purpose.

Participant’s Responsibility

Participants shall ensure that all information provided to the Company and through the Platform is accurate, current, and complete. Any intentional provision of false or misleading information may result in termination of the participant’s access to the program and potential legal consequences.

Participants must always engage in respectful, professional, and constructive conduct when using the Platform or interacting with other participants, the Company’s staff, or any third party related to the Program. Any harassment, discrimination, or inappropriate behavior will not be tolerated and may result in immediate removal from the Program.

Participants are responsible for understanding and complying with these Terms of Service and all applicable local, state, national, and international laws, regulations, and policies related to their participation in the program.

Participants are responsible for securing their login credentials, any other authentication details related to the Platform, and anything related to the custody of their crypto assets. Any unauthorized access or use stemming from a participant’s failure to secure their credentials adequately may lead to the participant being held responsible for resultant damages or breaches.

Should participants become aware of any unauthorized use of their account, breach of these Terms of Service, or potential security vulnerabilities, they are responsible for immediately notifying the Company.

Participants are responsible for regularly reviewing updates to the Terms of Service and other communications from the Company. Continued participation in the Program signifies acceptance of any updated terms.

Failure to uphold these responsibilities may result in immediate termination from the Program, legal action, or other remedies deemed appropriate by the Company.

 

Termination

The Company reserves the right, in its sole discretion, to terminate or suspend a participant’s access to the Digital Board Members Program and associated services on the Platform, at any time, without notice, for conduct that the Company believes violates these Terms of Service or is harmful to other participants, the Company, or third parties, or for any other reason. Upon such termination, all rights and licenses granted to the participant will immediately cease, and the participant must promptly discontinue all use of the Digital Board Members Program.

Participants may terminate their involvement with the Digital Board Members Program at any time by discontinuing the use of the Platform.

Upon termination, participants will no longer have access to the Digital Board Members Program, and any data or information related to their participation may be deleted or become inaccessible. The Company is under no obligation to retain or provide any data post-termination.

Provisions of these Terms of Service which, by their nature, should survive termination, including without limitation, indemnity, and limitations of liability, shall remain effective after termination.

If the general Terms & Conditions of the Company or the Platform are terminated for any reason, these Digital Board Members Program Terms of Service will also automatically terminate.
